Licence Agreement

1. Parties and Licence Grant

1.1 This EULA is a legal agreement between you ("User" or "you") and GUFE Ventures Inc., a corporation incorporated under the Canada Business Corporations Act (R.S.C., 1985, c. C-44), operating under the brand Ferrock Gaming, with its registered office in British Columbia, Canada ("Ferrock Gaming," "we," "us," or "our").

1.2 Subject to your compliance with this EULA, Ferrock Gaming grants you a limited, non-exclusive, non-transferable, revocable licence to download, install, and use Beat Glider on a device that you own or control, solely for your personal, non-commercial entertainment purposes.

1.3 This EULA constitutes a licence, not a sale. You do not acquire any ownership interest in Beat Glider or any of its content by downloading or using it.

2. Intellectual Property

2.1 Beat Glider, including all source code, artwork, music, sound effects, game mechanics, characters, user interface elements, trademarks, logos, and all related intellectual property, is owned exclusively by GUFE Ventures Inc. and is protected by the Copyright Act (R.S.C., 1985, c. C-42) and applicable international intellectual property treaties.

2.2 All rights not expressly granted in this EULA are reserved by GUFE Ventures Inc. You may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or create derivative works of Beat Glider without the express written consent of Ferrock Gaming.

3. Beat Coins and Reward Spin Mechanic

3.1 Beat Glider includes a virtual in-game currency called Beat Coins. Beat Coins are lives that allow you to play music tracks within the game.

3.2 Beat Coins can be bought or earned exclusively by watching in-game advertisements. Beat Coins cannot be transferred between users, and have no monetary value whatsoever outside of the game.

3.3 Beat Glider includes a Reward Spin feature available after watching an advertisement. The Reward Spin gives you a randomized chance to double your Beat Coins, retain your Beat Coins, or lose your Beat Coins. The probability of each outcome is equal.

3.4 The Reward Spin is entirely optional. You may choose to cash your earned Beat Coins directly without using the Reward Spin.

3.6 Ferrock Gaming reserves the right to adjust Beat Coin mechanics, Reward Spin probabilities, and ad reward rates at any time without notice.

4. In-App Purchases and Advertisements

4.1 Beat Glider may offer optional in-app purchases through the Apple App Store or Google Play Store. All purchases are processed by the applicable platform and are subject to that platform's terms and refund policies. Ferrock Gaming does not process payment transactions directly.

4.2 Beat Glider displays third-party advertisements as part of its core gameplay loop. By using the game, you consent to the display of advertisements. Ferrock Gaming is not responsible for the content of third-party advertisements.

4.3 All in-app purchases are final and non-refundable except as required by applicable law or the platform's refund policy.

5. User Conduct

You agree not to:

• Use cheats, exploits, automation software, bots, or any unauthorized third-party software in connection with Beat Glider;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of Beat Glider;
• Modify, adapt, translate, or create derivative works based on Beat Glider;
• Use Beat Glider for any commercial purpose without prior written consent from Ferrock Gaming;
• Interfere with or disrupt the integrity or performance of Beat Glider or its servers;
• Attempt to gain unauthorized access to any systems or networks connected to Beat Glider.

6. Privacy and Data Collection

6.1 Beat Glider collects certain user data including device identifiers, gameplay analytics, and crash reports. This data is collected and processed in accordance with Ferrock Gaming's Privacy Policy, which is incorporated by reference into this EULA.

6.2 By using Beat Glider, you consent to the collection and use of your data as described in the Privacy Policy. Ferrock Gaming complies with the Personal Information Protection and Electronic Documents Act (S.C. 2000, c. 5) (PIPEDA) and applicable provincial privacy legislation.

7. Disclaimer of Warranties

7.2 Ferrock Gaming does not warrant that Beat Glider will be uninterrupted, error-free, or free of viruses or other harmful components. Your use of Beat Glider is at your sole risk.

8. Limitation of Liability

8.1 To the maximum extent permitted by applicable law, Ferrock Gaming and GUFE Ventures Inc., their directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use Beat Glider, even if advised of the possibility of such damages.

8.2 In no event shall Ferrock Gaming's total liability to you for all claims arising out of or related to this EULA exceed the amount you paid, if any, for Beat Glider in the twelve (12) months preceding the claim.

9. Children and Minors

9.1 Beat Glider is intended for general audiences. If you are under the age of 13, you must have verifiable parental or guardian consent before using the game or allowing any data to be collected.

9.2 Parents and guardians are responsible for supervising their children's use of Beat Glider, including any decisions regarding the Reward Spin mechanic and advertisement viewing.

10. Termination

10.1 This EULA is effective until terminated. Your rights under this EULA will terminate automatically and without notice if you fail to comply with any term hereof. Upon termination, you must cease all use of Beat Glider and delete all copies from your devices.

10.2 Ferrock Gaming reserves the right to discontinue Beat Glider or modify its features at any time without notice or liability.

11. Governing Law and Dispute Resolution

11.1 This EULA shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

11.2 Any dispute arising out of or relating to this EULA shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. You hereby irrevocably submit to the personal jurisdiction of such courts.

12. General Provisions

12.1 If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.2 Ferrock Gaming's failure to enforce any right or provision of this EULA shall not constitute a waiver of such right or provision.

12.3 Ferrock Gaming reserves the right to amend this EULA at any time. Continued use of Beat Glider following notice of amendment constitutes acceptance of the revised terms.

12.4 This EULA constitutes the entire agreement between you and Ferrock Gaming with respect to Beat Glider and supersedes all prior agreements and understandings.
