1. Acceptance and Parties

1.1 These Terms constitute a legally binding agreement between you ("User" or "you") and GUFE Ventures Inc., a corporation incorporated under the Canada Business Corporations Act (R.S.C., 1985, c. C-44), operating under the brand Ferrock Gaming ("Ferrock Gaming," "we," "us," or "our"), with its registered office in British Columbia, Canada.

1.2 These Terms govern your access to and use of Beat Glider, including all game content, features, virtual items, and services offered through the game. These Terms should be read together with our End User Licence Agreement and Privacy Policy, both of which are incorporated by reference.

1.3 Ferrock Gaming reserves the right to modify these Terms at any time. We will notify you of material changes through the game or applicable app store. Your continued use of Beat Glider following notice of any change constitutes acceptance of the revised Terms.

2. Eligibility

2.1 You must be at least thirteen (13) years of age to use Beat Glider. If you are between 13 and 18 years of age, you represent that your parent or legal guardian has reviewed and consented to these Terms on your behalf.

2.2 By using Beat Glider, you represent and warrant that you have the legal capacity to enter into these Terms and that your use of the game complies with all applicable laws and regulations in your jurisdiction.

3. Licence to Use

Subject to your compliance with these Terms and the EULA, Ferrock Gaming grants you a limited, non-exclusive, non-transferable, revocable licence to download and use Beat Glider on a compatible device for your personal, non-commercial entertainment. This licence does not include any right to resell, sublicense, or commercially exploit Beat Glider or any of its content.

4. Beat Coins, Reward Spin, and Virtual Currency

4.1 Beat Coins are an in-game virtual currency that function as lives, enabling you to play music tracks within Beat Glider. Beat Coins are earned exclusively by watching in-game advertisements.

4.2 Beat Coins have no monetary value, cannot be purchased with real money, cannot be transferred between users, and cannot be redeemed for cash, goods, or services of any kind outside the game.

4.3 The Reward Spin is an optional feature available after watching an advertisement. It offers a randomized chance to double, retain, or lose your accumulated Beat Coins, with equal probability for each outcome.

4.4 Ferrock Gaming reserves the right to modify, adjust, suspend, or discontinue Beat Coins, the Reward Spin, advertisement mechanics, or any other game feature at any time, with or without notice, and without liability to you.

4.5 Upon termination of your access to Beat Glider for any reason, any accumulated Beat Coins are forfeited without compensation.

5. In-App Purchases

5.1 Beat Glider may offer optional paid content or features through in-app purchases processed by Apple Inc. or Google LLC. All such purchases are subject to the terms and conditions of the applicable platform.

5.2 All in-app purchases are final and non-refundable except where required by applicable law or the platform operator's refund policy. Ferrock Gaming does not process or issue refunds directly for platform transactions.

5.3 You are responsible for all charges associated with in-app purchases made through your device, including purchases made by minors using your account or device.

6. Advertisements

6.1 Beat Glider is supported by in-game advertising. By using Beat Glider, you consent to the display of third-party advertisements as part of the game experience, including as part of the Beat Coin reward mechanic.

6.2 Ferrock Gaming is not responsible for the content, accuracy, or practices of third-party advertisers. Any interaction with advertisements is at your own risk.

6.3 Third-party advertising networks integrated into Beat Glider may collect device identifiers and usage data for the purpose of serving advertisements, as described in our Privacy Policy.

7. User Conduct

By using Beat Glider, you agree not to:

• Use cheats, exploits, hacks, bots, automation tools, or any unauthorized third-party software that modifies or interacts with Beat Glider in an unintended manner;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of Beat Glider;
• Use Beat Glider for any commercial purpose, including streaming for commercial gain, without prior written consent from Ferrock Gaming;
• Attempt to interfere with, disrupt, or overburden the servers or networks supporting Beat Glider;
• Use Beat Glider in any manner that violates applicable law or regulation;
• Impersonate Ferrock Gaming, GUFE Ventures Inc., or any third party in connection with Beat Glider.

8. Intellectual Property

All content in Beat Glider, including but not limited to source code, music, artwork, game mechanics, trademarks, and branding, is the exclusive property of GUFE Ventures Inc. and is protected under the Copyright Act (R.S.C., 1985, c. C-42) and applicable international treaties. Nothing in these Terms transfers any intellectual property rights to you.

9. Content Streaming and User-Generated Content

9.1 Ferrock Gaming grants you permission to create and share personal non-commercial video content featuring Beat Glider gameplay ("Let's Play" videos, streaming, screenshots) provided that: (a) you clearly credit Beat Glider and Ferrock Gaming; (b) you do not monetize such content without prior written consent; and (c) such content does not misrepresent the game or Ferrock Gaming.

9.2 Ferrock Gaming reserves the right to revoke this permission at any time.

10. Disclaimer of Warranties

11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, Ferrock Gaming, GUFE Ventures Inc., and their respective directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Beat Glider.

11.2 Ferrock Gaming's total aggregate liability to you for all claims arising under these Terms shall not exceed the total amount you paid, if any, for in-app purchases in Beat Glider during the twelve (12) months preceding the claim.

11.3 Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, Ferrock Gaming's liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Ferrock Gaming, GUFE Ventures Inc., and their directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from: (a) your use of Beat Glider; (b) your violation of these Terms; or (c) your violation of any applicable law or the rights of any third party.

13. Termination

13.1 These Terms remain in effect until terminated. Ferrock Gaming may terminate or suspend your access to Beat Glider at any time, with or without cause, and without liability, including in the event of your breach of these Terms.

13.2 Upon termination, all licences granted to you under these Terms and the EULA immediately terminate, and you must cease all use of Beat Glider and delete all copies from your devices.

13.3 Sections 8, 10, 11, 12, and 14 survive termination of these Terms.

14. Governing Law and Dispute Resolution

14.1 These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

14.2 Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Beat Glider shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada. You irrevocably submit to the personal jurisdiction of such courts for this purpose.

14.3 Notwithstanding the foregoing, Ferrock Gaming reserves the right to seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.

15. General Provisions

15.1 These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and Ferrock Gaming with respect to Beat Glider.

15.2 If any provision of these Terms is held to be invalid or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force and effect.

15.3 Ferrock Gaming's failure to enforce any provision of these Terms does not constitute a waiver of its right to do so in the future.

15.4 You may not assign your rights or obligations under these Terms without Ferrock Gaming's prior written consent. Ferrock Gaming may assign these Terms freely.
